Offboarding and Transition

How transitions are handled when services end or move to another provider.

Offboarding is intended to protect client continuity while preserving security, accountability, and ownership boundaries. Cloud Core MSP will provide reasonable transition assistance, but transition work is billable unless a signed agreement says otherwise.

Transition assistance

Transition assistance is intended to support continuity for covered services while preserving security and accountability.

  • Reasonable cooperation with the client and incoming provider.
  • Documentation handoff for client-specific environment information maintained by Cloud Core MSP.
  • Account, vendor, and administrative access coordination where authorized.
  • Data export assistance from supported systems where available and permitted.
  • Scheduling and coordination for service cutover, tool removal, or responsibility transfer.

Data and ownership

Client owns client data. Cloud Core MSP owns its internal tools, automation, templates, procedures, scripts, methods, and internal systems.

Cloud Core MSP is not required to transfer proprietary tools, automation, internal methodologies, licenses it owns, internal systems, reusable automation, internal notes unrelated to client environment documentation, or trade secrets.

Security during offboarding

  • Administrative access changes should be coordinated to avoid lockouts or service disruption.
  • Credentials, MFA, emergency access, domains, licensing portals, and backup access should be transferred in a controlled manner.
  • Tool removal may affect monitoring, support, security visibility, backup status, and remote access.
  • Cloud Core MSP may preserve records needed for legal, billing, audit, or operational history.

Billable transition work

Transition assistance is billable at standard rates unless the Order Form or termination agreement says otherwise. Work is subject to reasonable scheduling availability and payment of undisputed outstanding balances.

Transition work may include documentation handoff, access transition, vendor coordination, export assistance, and knowledge-transfer sessions.

  • Incoming provider meetings.
  • Documentation review and export.
  • Tenant, domain, DNS, backup, and portal transition.
  • Tool removal and replacement coordination.
  • Post-termination support during the transition period.

Transition period

Unless otherwise agreed, reasonable transition assistance may be available for up to ninety days after termination. Longer transition work requires written approval.
